What You'll Need To Share

What is company registration?

Company registration – also called incorporation – is the process of legally forming a limited company with Companies House, the India's registrar of companies. Once registered, your business becomes its own legal entity, separate from you personally, with its own name, registration number, and Certificate of Incorporation.

It's an alternative to trading as a sole trader or ordinary partnership, and it's the right choice for many businesses because a limited company gives you limited liability, a more credible image with clients and suppliers, and more flexibility over how you're taxed and how ownership is structured.

We handle the filing with Companies House on your behalf, check everything is correct before it's submitted, and make sure you understand what happens next once your company exists.

Good to know: Companies House charges a statutory fee of £100 for standard digital incorporation, or £156 for same-day incorporation via software filing. This is a fixed government fee, separate from any service fee we charge to prepare and manage your application.

Why register a limited company?

Incorporating isn't right for every business, but for most growing businesses the benefits outweigh the extra admin. Here's what a limited company gives you that sole trader status doesn't.

1
Limited liability protection

Your personal assets are generally protected if the company runs into financial difficulty – your liability is limited to what you've invested in shares.

2
A more credible image

Many clients, suppliers and lenders simply prefer to deal with a limited company over a sole trader.

3
Tax planning flexibility

Directors can often structure income between salary and dividends in a way that suits their circumstances – speak to an accountant about what's right for you.

4
Easier access to finance

Banks, investors and grant schemes are often set up with limited companies in mind.

5
Transferable ownership

Shares can be issued, sold or passed on, making it easier to bring in investors or plan succession.

Which structure is right for you?

Company registration usually means a private limited company, but it's worth knowing how the options compare.

Limited Company

A separate legal entity with its own directors and shareholders. Offers limited liability and is registered with Companies House. The right choice for most growing businesses.

Sole Trader

You and the business are legally the same. Simple to set up and run, but you're personally liable for business debts, with no separation from your personal finances.

Ordinary Partnership

Two or more people share the risks, costs and responsibilities of a business. Like sole traders, partners are personally liable for the partnership's debts.

LLP

A Limited Liability Partnership combines partnership flexibility with limited liability for its members. Common for professional services firms.
